1) Scope
1.1 These General Terms and Conditions (“GTC”) of TLB UG (haftungsbeschränkt) (“Seller”) apply to all contracts for the delivery of goods concluded by a consumer or entrepreneur (“Customer”) with the Seller regarding goods displayed in the Seller's online shop. The inclusion of the Customer's terms and conditions is hereby expressly excluded unless otherwise agreed.
1.2 A consumer is any natural person who enters into a legal transaction for purposes that are predominantly neither commercial nor self-employed professional activity.
1.3 An entrepreneur is a natural or legal person or a legally capable partnership who, when concluding a legal transaction, acts in the exercise of their commercial or independent professional activity.
2) Conclusion of Contract
2.1 Product descriptions in the Seller’s online shop do not constitute binding offers, but are intended to allow the Customer to make a binding offer.
2.2 The Customer can submit an offer via the online order form integrated into the Seller's online shop. By placing the selected goods into the virtual shopping cart and completing the electronic ordering process, the Customer makes a legally binding offer by clicking the button that completes the order process.
2.3 The Seller may accept the Customer's offer within five days by:

Sending the Customer a written order confirmation or confirmation in text form (fax or email), the receipt of which by the Customer is decisive, or

Delivering the ordered goods to the Customer, the receipt of which by the Customer is decisive, or
-
Requesting payment from the Customer after order submission.
If several of the above alternatives occur, the contract is concluded at the moment the first of these occurs. The acceptance period starts the day after the Customer sends the offer and ends after five days. If the Seller does not accept the offer within this period, this is considered a rejection of the offer, and the Customer is no longer bound by it.
2.4 If the Customer selects a payment method offered by PayPal, payment processing is carried out by PayPal (Europe) S.à r.l. et Cie, S.C.A., 22-24 Boulevard Royal, L-2449 Luxembourg (“PayPal”) under the PayPal User Agreement available at https://www.paypal.com/de/webapps/mpp/ua/useragreement-full or, if the Customer does not have a PayPal account, under the terms for payments without a PayPal account available at https://www.paypal.com/de/webapps/mpp/ua/privacywax-full. The Seller accepts the Customer’s offer at the moment the Customer clicks the button completing the order process.
2.5 After submitting an offer via the online order form, the contract text is stored by the Seller and sent to the Customer in text form (e.g., email, fax, or letter). If the Customer created an account in the online shop, the order data is archived and can be accessed via the password-protected account.
2.6 Before submitting the order, the Customer can check entries for errors by carefully reading the on-screen information. Browser zoom functions can assist in recognizing errors. Entries can be corrected using standard keyboard and mouse functions until the button completing the order is clicked.
2.7 The German language is available for the conclusion of the contract.
2.8 Order processing and contact usually take place via email and automated order handling. The Customer must ensure that the provided email address is correct and capable of receiving the Seller’s emails. If using spam filters, the Customer must ensure that emails from the Seller or authorized third parties can be received.
3) Right of Withdrawal
3.1 Consumers generally have a right of withdrawal.
3.2 Further details can be found in the Seller's Right of Withdrawal information.
4) Prices and Payment Terms
4.1 Unless otherwise stated, all prices include VAT. Additional shipping and delivery costs, if any, are listed separately in the product description.
4.2 Available payment methods are displayed in the Seller’s online shop.
4.3 For PayPal payments, processing is via PayPal, which may use third-party payment providers. For PayPal services where the Seller advances payment (e.g., invoice or installment), the claim is assigned to PayPal or the designated provider. Credit checks may apply, and payment can be refused in case of negative results.
4.4 For Shopify Payments, payment is processed via Stripe Payments Europe Ltd., 1 Grand Canal Street Lower, Grand Canal Dock, Dublin, Ireland (“Stripe”). Stripe may use additional payment services with separate conditions. More info: https://www.shopify.com/legal/terms-payments-de.
5) Delivery and Shipping Terms
5.1 Delivery occurs to the address provided by the Customer, unless otherwise agreed. For PayPal payments, the address linked to PayPal is decisive.
5.2 If delivery fails due to the Customer’s fault, the Customer bears reasonable costs. This does not apply if the withdrawal right is exercised. Return costs in such cases are covered under the Right of Withdrawal information.
5.3 Risk passes to the Customer when:

Entrepreneur: upon handing goods to the carrier.

Consumer: generally upon delivery, except if the Customer appointed the carrier, and the Seller did not name the carrier in advance.
5.4 The Seller reserves the right to withdraw from the contract in case of non-supply not caused by the Seller and after reasonable efforts. Customers will be informed immediately if goods are unavailable, and payments refunded.
5.5 Self-collection is not possible.
6) Retention of Title
The Seller retains ownership of delivered goods until full payment has been received.
7) Warranty (Liability for Defects)
7.1 Entrepreneurs:

Seller chooses type of remedy.

Statutory limitation for new goods: 1 year.

Used goods: no warranty.

Replacement does not restart limitation period.
7.2 Limitations do not apply to:

Claims for damages or reimbursement.
-
Fraudulent concealment of defects.

Structural goods whose defects caused damage.
-
Obligations to provide updates for digital products.
7.3 Legal recourse rights remain unaffected.
7.4 Business customers: inspection and complaint duties apply (§377 HGB).
7.5 Consumers should inspect goods for obvious transport damage and notify the Seller; failure does not affect legal rights.
8) Liability
8.1 Unlimited liability for:

Intent or gross negligence
-
Injury to life, body, or health
-
Warranty promises
-
Mandatory statutory liability (e.g., Product Liability Act)
8.2 Otherwise, liability is limited to foreseeable, typical contractual damages.
8.3 Further liability is excluded.
8.4 These rules apply also to the Seller’s agents and legal representatives.
9) Redemption of Promotional Vouchers
9.1 Promotional vouchers issued free for a limited time can only be redeemed in the online shop during the specified period.
9.2 Only consumers may redeem vouchers.
9.3 Certain products may be excluded if stated on the voucher.
9.4 Vouchers must be applied before completing the order; retroactive redemption is not possible.
9.5 Only one voucher per order.
9.6 Order value must at least equal the voucher; remaining balance is not refunded.
9.7 If voucher value is insufficient, remaining amount can be paid via other available methods.
9.8 Voucher balance is not redeemable for cash or interest.
9.9 Voucher is not refunded if the goods paid with it are returned under the right of withdrawal.
9.10 Voucher is transferable; Seller may fulfill performance to the redeemer unless they are aware of misuse or lack of authorization.
10) Applicable Law
German law applies, excluding conflict-of-law provisions for international sales. For consumers, mandatory protective provisions of the consumer’s country remain applicable.
11) Jurisdiction
Business customers: exclusive jurisdiction is the Seller’s registered office in Germany. For foreign business customers, Seller may sue either at its own office or the Customer’s office.
12) Alternative Dispute Resolution
The Seller is neither obliged nor willing to participate in a dispute resolution procedure before a consumer arbitration board.
